These Terms of Service set out the terms and condition on which Legends Café Corporation (“Legends Café”) provides you with access to www.legends.cafe (the “Site”), including any related content, functionality, or information.
BY USING THE SITE, YOU ACCEPT AND AGREE TO COMPLY WITH THESE TERMS OF SERVICE AND LEGENDS CAFÉ’S PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE SITE.
Legends Café may immediately terminate your access to the Site at any time, for any reason. Legends Café may also change or remove any information or material on the Site at our discretion and without notice to you. Changes to these Terms of Service Legends Café reserves the right to revise and update these Terms of Service from time to time without notice to you. By continuing to use the Site after these Terms of Service are updated, you agree to these changes. It is your responsibility to periodically check the Site for updates to these Terms of Service.
Personal Information
Our Privacy Policy governs our collection and use of personal information that you provide or Legends Café collects through the Site.
Restrictions on Using the Site and Services
You may use the Site and the Services only in accordance with applicable laws and these Terms of Service.
You are prohibited from:
– Copying, reproducing, transmitting, modifying, downloaded, storing, publishing, or displaying any Content or material from the Site for any purpose without Legends Café’s consent;
– Republishing any Content in print or digital media (including on another website or social
media account);
– Selling, licensing, or otherwise using any Content for a commercial purpose without Legends Café’s consent;
– Redistributing personal information found on the site to third-parties without Legends Café’s consent;
– Using any robot, spider, scraper, or other automated means to access the Site;
– Decompile, reverse engineer, or disassemble the Site (or any part thereof);
– Using the Site in a way that imposes an unreasonably large load on Legends Café’s servers or infrastructure;
– Misleading or deceiving Legends Café, including by submitting false information when you complete the Submission Form or communicate with us;
– Using abusive or inappropriate language or conduct on the Site;
– Conducting any systematic or automated data collection on the Site without Legend Café’s
consent;
– Using any Legends Café Marks, Content, or any other proprietary information without Legends Café’s consent; or
– Attempting to circumvent or violate the security of the Site, including by introducing to the Site or using the Site to copy, store, host, transmit, or publish any material which consists of
or contains spyware, viruses, Trojan horses, worms, or other malicious software.
Intellectual Property Rights
The Site and all related content, including any information, photographs, text, articles, graphics, video, photographs, software, code, the arrangement, selection and look and feel of the Site, and other materials provided by Legends Café through the Site (“Content”) are the exclusive property of
Legends Café and its licensors and are protected by copyright law. Legends Café retains all of its right, title and interest in and to and all patent, trademark, copyrights, trade secrets, and other intellectual property rights and proprietary rights related to the Site and any Content. You agree not
to use or reproduce any Content, in any form, without Legend Café’s express consent.
If you submit any feedback, questions, or ideas to Legends Café about the Site or its services, you agree to assign all right, title and interest in such feedback, questions or ideas to Legends Café.
LEGENDS CAFÉ, the Legends Café logo and all related names, logos, product and service names, designs, images and slogans are trademarks of Legends Café (the “Legends Café Marks”). You may not use or reproduce the Legends Café Marks or any confusingly similar marks without prior written
consent. Other names, logos, product and service names, designs, images and slogans mentioned, or which appear on this Site are the trademarks of their respective owners and may not be used without the written consent of such owners.
Submissions
By submitting photographs and personal information through the Submission Form on the Site (a “Submission”), you consent to and grant Legends Café a non-exclusive, royalty-free, worldwide right and license to use, reproduce, publicly display, license, edit, create derivate works from, disclose, and distribute some or all of the Submission, as well as photographs available on the social media account identified in the Submission, on Legends Café’s website and social media accounts, at
castings, and to potential collaborators for the purpose of promoting you and Legends Café’s business, all without compensation to you. Legends Café will not sell your photographs.
You may revoke this license by providing Legends Café with 30 days written notice. If you revoke this license, Legends Café will remove your name and photographs from the Site and will immediately stop promoting you to potential collaborators, but will not delete previous social media
posts that include your photographs and personal information.
You also represent and warrant that your Submission is accurate and that you own all intellectual property rights in the photographs in the Submission or have the necessary rights to grant the license above to Legends Café. You agree to indemnify and hold harmless Legends Café and its directors, officers, shareholders, employees, agents, successors, and assigns from and against any claims of intellectual property infringement, misrepresentation, or other wrongdoing related to your Submission.
Community Articles
The articles posted in the Community section of the Site are created and submitted by third-party contributors. In some cases Legends Café is not the author of these articles. Legends Café makes no representations that the articles are accurate, complete, correct, or suitable for everyone. The views, opinions, artistic expressions, and perspectives expressed in each article are solely those of the author. In some cases, they do not necessarily reflect the policy, views, or position of Legends Café or any of its employees, shareholders, officers, or directors. Legends Café is not liable for any errors, omissions, or infringement of intellectual property rights related to these articles, and you agree to release Legends Café from liability for any losses, injuries, or damages you suffer related to their publication on the Site.
Disclaimer
You understand and agree that your use of the Site and the Content is at your own risk. Although Legends Café strives to update the Site on a regular basis, Legends Café makes no representations, warranties or guarantees, express or implied, that the Site or the Content is secure, error-free, uninterrupted, accurate, reliable, complete, or up-to-date.
Limitation on Liability
YOU AGREE TO RELEASE FROM LIABILITY AND WAIVE ALL POTENTIAL CLAIMS AGAINST LEGENDS CAFÉ ARISING FROM OR RELATING TO YOUR USE OF THE SITE, AND ALL INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER SUCH LOSS WAS FORESEEABLE.
Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Legends Café and its directors, officers, shareholders, employees, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your use of the Site or the Content or your breach of these Terms of Service.
Third Party Sites
This Site contains links to third-party Sites. If you choose to access a third-party Site, you do so at your own risk and acknowledge that you will be subject to the terms and conditions of the third-party once you leave the Site. Legends Café accept no responsibility for third-party Sites or services or for any loss or damage that may arise from your use of them.
Geographic Restrictions
This Site is not intended for use outside of Canada. If you access the Site from outside Canada, you do so at your own risk and you are responsible for compliance with local laws of your jurisdiction.
Governing Law and Jurisdiction
These Terms of Service will be governed by the laws of British Columbia and the federal laws of Canada that apply in British Columbia, without giving effect to any conflict of law rules. Each party irrevocably submits to the exclusive jurisdiction of the courts of British Columbia to decide any action or proceeding arising out of or relating to the Site or these Terms of Service.
Severability
If any provision of these Terms of Service is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability will not affect the validity of any other provision of these Terms of Service, which will continue in full force and effect.
Entire Agreement
These Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and Legends Café regarding the Site and the Content and supersede all prior and contemporaneous understandings, agreements, and representations, both written and oral, regarding such subject matter.
